Terms of Service

1. Agreement
These Terms of Service ("Terms") are a contract between you and DenSend ("DenSend", "we", "us"), governing your access to and use of the DenSend website, API, SMTP relay, dashboard and related services (together, the "Service"). By creating an account, sending a request to our API, or otherwise using the Service, you agree to these Terms. If you're accepting on behalf of an organization, you're confirming you have the authority to bind that organization, and "you" refers to it.
2. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You're responsible for the accuracy of the information you give us, for keeping your login credentials, API keys and SMTP credentials confidential, and for everything that happens under your account — including actions taken by teammates you invite into a workspace. Tell us promptly if you believe a credential has been compromised.
3. The service
DenSend lets you send transactional email over an HTTPS API or plain SMTP, from domains you add and verify ownership of via DNS records. We route outbound mail through our sending infrastructure, record delivery events (bounces, complaints, opens where enabled), and expose that data back to you through the dashboard and API. We may change, add to, or deprecate features of the Service, including rate limits and quota levels tied to your plan, as described in the docs.
4. Acceptable use
You will not use the Service to:
- Send unsolicited bulk email, or email to addresses you don't have a lawful basis to contact.
- Send from a domain you haven't verified ownership of, or spoof another party's identity.
- Distribute malware, phishing content, or anything illegal in the jurisdictions you send to.
- Ignore bounce, complaint or unsubscribe signals, or re-add a suppressed recipient without their renewed consent.
- Attempt to circumvent rate limits, quotas, or the authentication on API keys and SMTP credentials.
- Probe, scan, or attack the infrastructure that runs the Service, or resell the Service without our written agreement.
Because sending infrastructure is shared, abuse from one account can affect deliverability for everyone else on the platform. We enforce this policy accordingly, including by throttling, suspending, or terminating accounts that put shared deliverability at risk — see Suspension & termination.
5. Your content
"Your Content" means the emails, templates, contact data, and other material you send or store through the Service. You retain ownership of Your Content. You grant us a license to process, transmit, and store it solely to provide and support the Service — for example, to deliver a message, render it for a preview, or evaluate it against spam and abuse filters. We don't read, sell, or use Your Content for advertising.
You're responsible for having a lawful basis to contact each recipient, and for the content of what you send, including compliance with applicable anti-spam and data protection law in the places you send to and from.
6. Fees & payment
The free tier and paid plans, their sending quotas, and their prices are described on our pricing page. Paid plans and email packages are billed in advance for the period you select. Where mobile money (MTN or Airtel, via our payment processor) is offered as a payment method, each charge requires a fresh approval on your handset — we don't store your mobile money PIN and can't charge you again without your approval. Fees are non-refundable except where required by law or stated otherwise at the time of purchase. We'll give you reasonable notice, generally at least 30 days, before a price increase takes effect on your next billing cycle.
7. Suspension & termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access, with notice where practical and immediately where not — for example, in cases of suspected abuse, non-payment, legal risk, or a threat to the deliverability or security of the platform. On termination, your right to use the Service ends; provisions that by their nature should survive (ownership, liability, governing law) continue to apply.
8. Availability
We work to keep the Service reliable, but it's provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Email delivery also depends on systems we don't control — recipient mail servers, DNS, our upstream sending provider, and, for mobile money payments, the mobile network operator — and we can't guarantee uninterrupted or error-free operation of any of them.
9. Intellectual property
DenSend, our logo, and the Service's underlying software, design, and documentation are our property or that of our licensors. Nothing in these Terms transfers that ownership to you, beyond the limited right to use the Service as intended. Feedback you send us about the Service may be used by us without restriction or obligation to you.
10. Third-party services
The Service relies on third parties to operate — including our email-sending infrastructure, our mobile money payment processor, and, if you choose to use them, Google or GitHub for sign-in. Your use of those sign-in options is also subject to that provider's own terms. We're not responsible for the availability or conduct of third-party services outside our control.
11. Limitation of liability
To the maximum extent permitted by law, DenSend will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Service. Our total liability for any claim arising out of these Terms or the Service is limited to the amount you paid us for the Service in the three months preceding the event giving rise to the claim.
12. Indemnification
You'll indemnify and hold DenSend harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.
13. Governing law
These Terms are governed by the laws of the Republic of Rwanda, without regard to conflict of law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Rwanda, unless applicable law requires otherwise.
14. Changes to these terms
We may update these Terms as the Service evolves. We'll change the date at the top of this page and, for material changes, make a reasonable effort to notify account owners. Continuing to use the Service after a change takes effect means you accept the updated Terms.
